MUTUAL NON-DISCLOSURE AGREEMENT
This Agreement is entered into between Gohvio, Inc. ("Disclosing Party") and the counterparty identified below ("Receiving Party").
1. Confidential Information
The Receiving Party shall hold all Confidential Information in strict confidence and shall not disclose it to any third party for a period of five (5) yearsthree (3) years1 from the date of disclosure.
2. Permitted Use
Confidential Information may be used solely for the purpose of evaluating a potential business relationship between the parties, and may be shared with the Receiving Party's professional advisers2 .
3. Governing Law
This Agreement shall be governed by the laws of the State of DelawareCalifornia3 , without regard to its conflict of laws principles.
4. Term and Termination
Either party may terminate this Agreement upon ninety (90) daysthirty (30) days4 written notice to the other party.
